Preamble

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Participant," "you," or "your") and Techies Africa ("Techies Africa," "we," "us," or "our") governing your participation in the Techies Africa Affiliate Referral Programme ("Programme").

Techies Africa is a software development studio, product innovation lab, and technology talent community incorporated in Nigeria. Our registered address is available at techies.africa/about.

By submitting a registration form for the Programme, clicking "Create My Referral Account," or by using your referral link in any way, you confirm that you have read, understood, and agree to be bound by these Terms in full, including the Pricing Policy which is incorporated by reference and available at techies.africa/affiliate/pricing-policy.

If you do not agree to these Terms, do not register for or participate in the Programme.

Part 1 — Eligibility

1.1 Who May Participate

The Programme is open to any individual who meets all of the following criteria at the time of registration and throughout their participation:

  • You are at least 18 years of age

  • You have a valid Nigerian bank account capable of receiving NGN bank transfers, or you have made alternative payment arrangements with Techies Africa in writing before registration

  • You have a valid, active email address that you monitor regularly

  • You are not a current salaried or contracted employee of Techies Africa

  • You are not prohibited by any law, regulation, or contractual obligation from participating in referral or affiliate programmes

  • You provide accurate, truthful, and complete information in your registration

1.2 Who May Not Participate

The following individuals and entities are not eligible to participate:

  • Current full-time or part-time employees of Techies Africa

  • Individuals under active contracts with Techies Africa that include exclusivity clauses covering referral or affiliate activities

  • Individuals who have previously been permanently removed from the Programme for breach of these Terms

  • Individuals acting on behalf of entities that are direct competitors of Techies Africa's core services — Custom Software Development, Product Management as a Service, or Digital Transformation

Techies Africa reserves the right to determine eligibility at its sole discretion and to reject any application without providing a reason.

1.3 Geographic Eligibility

The Programme is primarily designed for participants based in Nigeria and Africa. Participants based outside Africa are welcome but should note that:

  • Payout timelines may be longer for international bank transfers

  • Currency conversion costs are the participant's responsibility

  • Tax obligations vary by jurisdiction and are solely the participant's responsibility

Part 2 — Registration

2.1 Registration Process

To join the Programme, you must complete the registration form at techies.africa/refer, providing:

  • Your full legal name

  • Your active email address

  • Your phone number including country code

  • How you first became aware of Techies Africa

  • Your Nigerian bank account details — bank name, 10-digit NUBAN account number, and account name as registered with the bank

Incomplete or inaccurate registrations may be rejected or result in delayed account activation.

2.2 Email Verification

After submitting your registration, you will receive a verification email at the address you provided. You must click the verification link within 24 hours of receiving the email to activate your account. If the verification link expires, a new one can be requested from the login page. Until your email is verified, your account remains inactive and your referral link is not valid.

2.3 Account Accuracy

You represent and warrant that all information you provide at registration and at any time during your participation is true, accurate, current, and complete. You agree to update your account information promptly if any of it changes. Providing false, misleading, or incomplete registration information — including bank account details belonging to another person — constitutes a material breach of these Terms.

2.4 One Account Per Person

You may only hold one active Programme account. If we detect multiple accounts registered with the same identity, the accounts will be merged into one or all accounts may be suspended pending investigation.

2.5 Account Security

You are responsible for maintaining the security of your account login credentials. You must not share your login credentials with any other person. You must notify Techies Africa immediately at support@techies.africa if you become aware of any unauthorised access to your account.

Techies Africa is not liable for any loss arising from unauthorised access to your account that results from your failure to maintain the security of your credentials.

Part 3 — Your Referral Link and How to Use It

3.1 Your Unique Referral Link

Upon account activation, you will be assigned a unique referral code and a corresponding referral link in the format: techies.africa/build?ref=[YOUR_CODE]. Your referral link is personal to you. It is how we track the prospects you introduce to Techies Africa. Commissions are earned only through valid use of your unique referral link as described in the Pricing Policy.

3.2 Permitted Uses of Your Referral Link

You may share your referral link through any honest, transparent channel, including:

  • Personal conversations — in person, by phone, via WhatsApp, or by email

  • Your personal social media accounts — LinkedIn, Twitter/X, Instagram, and Facebook

  • Your personal website or blog

  • Professional network communications

  • Community groups and forums where you are an authentic participant and where promotional sharing is permitted by that community's rules

3.3 Prohibited Conduct

The following activities are strictly prohibited. They constitute grounds for immediate termination of your Programme participation, forfeiture of all pending commissions, and potential recovery of commissions previously paid:

Self-Referral and Circular Referral

You may not refer yourself, any entity you own or control, any entity in which you hold a financial interest, or any entity managed by a close family member. You may not enter into arrangements with other Programme participants to refer each other's businesses for the purpose of generating commissions.

Artificial Click Inflation

You may not use bots, scripts, click farms, paid click services, or any automated means to generate clicks on your referral link. You may not purchase traffic, impressions, or clicks directed at your referral link from any source.

Misleading Representation

You may not misrepresent the nature of Techies Africa's services, the terms of the Programme, the commission rates, or any other material fact when promoting your referral link. You may not present yourself as a Techies Africa employee, agent, or official representative.

Spam and Unsolicited Communication

You may not send unsolicited bulk emails, SMS messages, or any form of spam promoting your referral link. Any email promotion must comply with applicable anti-spam laws, including Nigeria's Cybercrimes Act 2015 and, where applicable, the CAN-SPAM Act or GDPR.

Undisclosed Incentivisation

You may not offer prospects money, gifts, discounts, or other incentives from your own resources in exchange for using your referral link, without clearly disclosing that you will receive a referral commission if they proceed.

Attribution Manipulation

You may not use cookie stuffing, link hijacking, or any technique designed to generate attribution credit for prospects who have not genuinely expressed interest in Techies Africa's services through your direct personal recommendation.

Brand Impersonation

You may not create websites, social media accounts, email addresses, or any other assets that impersonate, imitate, or are likely to be confused with official Techies Africa channels.

3.4 Your Responsibilities When Making Referrals

When you recommend Techies Africa to a prospect, you should:

  • Only recommend Techies Africa to individuals or organisations that you genuinely believe could benefit from its services

  • Be honest about what Techies Africa does and does not do

  • Disclose that you will receive a referral commission if the prospect engages Techies Africa, if asked or if required by applicable law

  • Not pressure, harass, or repeatedly solicit a prospect who has declined

Techies Africa's reputation is built on trust. Referrals that create negative first impressions reflect on both you and on us.

Part 4 — Commission and Payment

4.1 Pricing Policy Governs

All commission rates, calculation methods, payout timelines, payout methods, and financial terms are governed by the Techies Africa Affiliate Referral Programme Pricing Policy, available at techies.africa/affiliate/pricing-policy and incorporated into these Terms by reference. In the event of any conflict between the body of these Terms and the Pricing Policy on a financial matter, the Pricing Policy prevails.

4.2 Commission is Not Guaranteed

Your participation in the Programme does not guarantee that you will earn any commission. Commissions are contingent on the conditions set out in the Pricing Policy. Techies Africa makes no representation, warranty, or guarantee about the likelihood of any referral converting to a signed contract.

4.3 Techies Africa's Discretion on Client Engagement

Techies Africa retains absolute and sole discretion to accept or decline to engage with any prospect you refer, to negotiate terms with any referred prospect, to terminate an engagement with a referred client for any reason, and to change its services, pricing, or scope at any time. No commission is payable for a referral where Techies Africa chooses not to proceed with the referred prospect, regardless of the reason.

4.4 Commission is Not Transferable

Your right to receive a commission is personal to you and may not be assigned, transferred, pledged, or sold to any other person or entity.

Part 5 — Programme Conduct and Compliance

5.1 Compliance with Laws

You must comply with all applicable laws and regulations in your jurisdiction in connection with your participation in the Programme, including consumer protection laws, advertising disclosure requirements, data protection laws, and anti-spam regulations. In Nigeria, this includes but is not limited to:

  • The Nigeria Data Protection Act 2023 (NDPA)

  • The Cybercrimes (Prohibition, Prevention, Etc.) Act 2015

  • The Consumer Protection Framework issued by the Federal Competition and Consumer Protection Commission

5.2 Data Protection

In the course of making referrals, you may come into contact with personal data about third parties — the names, contact details, or business information of prospects you intend to refer. You must handle any such data in accordance with applicable data protection laws.

You must not share a prospect's personal data with Techies Africa without that prospect's knowledge and reasonable consent. Where you share a prospect's contact details with us — for example, by copying them on a recommendation email — you represent that you have their permission to do so.

Techies Africa's handling of personal data is governed by our Privacy Policy at techies.africa/privacy.

5.3 Advertising Disclosure

Where applicable law requires you to disclose that you receive a commission for referrals — for example, when posting about Techies Africa on social media — you must make such disclosure clearly and prominently. Failure to disclose as required by applicable law is your responsibility and does not affect Techies Africa's rights under these Terms.

Part 6 — Intellectual Property

6.1 Techies Africa Brand Assets

Techies Africa grants you a limited, non-exclusive, non-transferable, revocable licence to use the Techies Africa name and approved logo assets solely for the purpose of promoting your referral link in a manner consistent with these Terms. This licence does not permit you to:

  • Use the Techies Africa name or logo in a way that suggests an official partnership, endorsement, or employment relationship beyond your status as a Programme participant

  • Modify, alter, or create derivative works of Techies Africa's logo or brand assets

  • Use Techies Africa's brand assets in any way that could mislead, confuse, or deceive a reasonable person about the nature of your relationship with Techies Africa

6.2 Your Content

You retain ownership of any content you create to promote your referral link. However, by creating such content, you represent that it does not infringe any third party's intellectual property rights, does not contain defamatory, illegal, or misleading material, and complies with these Terms.

Techies Africa may request that you remove content that it reasonably determines to be in breach of these Terms, and you must do so within 48 hours of receiving such a request.

6.3 Referral Dashboard and System

Your referral dashboard, referral link, and all associated system tools are provided by Techies Africa for your use in the Programme only. You have no ownership interest in any part of the referral system. Techies Africa may modify, update, or discontinue any part of the referral system at any time with reasonable notice.

Part 7 — Term, Suspension, and Termination

7.1 Programme Duration

These Terms take effect when you complete registration and remain in effect until terminated by either party as described below. The Programme is open-ended — Techies Africa currently has no plan to discontinue it. However, Techies Africa reserves the right to close, pause, or restructure the Programme at any time, subject to the notice provisions in Section 7.5.

7.2 Termination by You

You may terminate your participation in the Programme at any time by:

  • Emailing support@techies.africa from your registered email address with the subject line "Programme Cancellation Request — [Your Referral Code]", or

  • Using the account deactivation feature in your referral dashboard when available

Upon termination by you:

  • Your referral link will be deactivated immediately

  • Commissions for referrals already in the pipeline — where the discovery call was booked before your termination date — will continue to be processed and paid in accordance with the Pricing Policy, provided there are no outstanding compliance issues with your account

  • Your account data will be retained in accordance with Techies Africa's data retention policy

7.3 Suspension by Techies Africa

Techies Africa may suspend your Programme participation — pausing your referral link and freezing pending commissions — pending investigation where:

  • Suspicious activity or a potential breach of these Terms is detected on your account

  • A fraud flag is raised against one or more of your referrals

  • You are unresponsive to communications from Techies Africa on a material matter

Techies Africa will notify you by email of any suspension and the reason for it. You will have the opportunity to respond and provide your perspective before a final determination is made, except where the risk of harm requires immediate action. If the investigation concludes that no breach occurred, your account will be reinstated and any frozen commissions will be released.

7.4 Termination by Techies Africa

Techies Africa may terminate your Programme participation immediately and without notice where:

  • You have engaged in self-referral or circular referral arrangements

  • You have engaged in artificial click inflation or any form of click or attribution fraud

  • You have materially misrepresented Techies Africa to prospects

  • You have materially breached any other provision of these Terms and failed to remedy the breach within 7 days of written notice

  • Your continued participation poses a legal, regulatory, or reputational risk to Techies Africa

Upon termination for breach:

  • Your referral link will be deactivated immediately

  • Commissions already paid to you in connection with the activity that constituted the breach may be subject to recovery

  • Commissions pending for referrals in the pipeline will be reviewed individually and paid only where the referral is determined to have been genuine and in compliance with these Terms

  • You may not reapply to the Programme without express written permission from Techies Africa

7.5 Programme Discontinuation

If Techies Africa decides to permanently discontinue the Programme, it will:

  • Provide at least 60 calendar days' notice to all registered participants by email

  • Continue to process and pay commissions for all qualifying referrals where the discovery call was booked before the discontinuation date

  • Not accept new referral registrations from the date of the notice

Part 8 — Limitation of Liability and Disclaimers

8.1 No Employment or Agency Relationship

Your participation in the Programme does not create any employment, partnership, joint venture, franchise, or agency relationship between you and Techies Africa. You are an independent participant acting on your own behalf. You have no authority to enter into any agreement, make any representation, or incur any obligation on behalf of Techies Africa.

8.2 Programme Provided "As Is"

The referral system, dashboard, tracking tools, and all Programme infrastructure are provided "as is" without warranties of any kind, express or implied. Techies Africa does not warrant that:

  • The referral system will be available, uninterrupted, or error-free at all times

  • Attribution tracking will be 100% accurate in all circumstances — see the Pricing Policy, Part B, Section B3, for known technical limitations

  • The Programme will remain commercially viable or beneficial to you

8.3 Limitation of Liability

To the fullest extent permitted by applicable law, Techies Africa's total liability to you under or in connection with the Programme — whether in contract, tort, breach of statutory duty, or otherwise — shall not exceed the total commission amounts paid to you in the 3 calendar months immediately preceding the event giving rise to the claim.

Techies Africa shall not be liable to you for any indirect, consequential, special, punitive, or exemplary loss or damage, including loss of profit, loss of opportunity, or loss of goodwill, arising from or in connection with the Programme.

8.4 Force Majeure

Techies Africa shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including acts of God, government action, bank failures, national or regional payment system failures, internet outages, or pandemics.

Part 9 — Disputes

9.1 Informal Resolution First

Before initiating any formal dispute process, you agree to contact Techies Africa at support@techies.africa and give us a reasonable opportunity — not less than 21 calendar days — to resolve the issue informally. Most disputes about commission calculations, payout timing, or account status can and should be resolved directly with our team without formal process.

9.2 Commission Disputes

Commission disputes must be raised within 30 calendar days of the commission confirmation notification — or, if no notification was received, within 30 calendar days of the date you became aware of the issue. The process for raising commission disputes is set out in the Pricing Policy, Part D, Section D5.

9.3 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

9.4 Jurisdiction

Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. If you are located outside Nigeria, you agree that Nigerian courts have jurisdiction over disputes arising from your participation in this Programme.

9.5 No Class Actions

You agree to resolve disputes with Techies Africa individually. You waive any right to bring or participate in a class action, class arbitration, or any other collective or representative proceeding against Techies Africa in connection with the Programme.

Part 10 — General Provisions

10.1 Entire Agreement

These Terms, together with the Pricing Policy and any other documents incorporated by reference, constitute the entire agreement between you and Techies Africa with respect to the Programme. They supersede all prior discussions, representations, and agreements on this subject.

10.2 Amendments

Techies Africa may amend these Terms from time to time. We will notify you of material changes by email to your registered address at least 14 calendar days before the changes take effect. Your continued use of your referral link or continued participation in the Programme after the effective date of any amendment constitutes your acceptance of the amended Terms.

If you do not agree to an amendment, you may terminate your participation before the amendment takes effect in accordance with Section 7.2. Commission rate changes are governed by the specific notice provisions in the Pricing Policy, Part A, Section A4, which require 30 days' notice.

10.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions of these Terms shall continue in full force and effect.

10.4 Waiver

Techies Africa's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any breach shall not constitute a waiver of any subsequent breach.

10.5 Assignment

Techies Africa may assign its rights and obligations under these Terms to any affiliate, successor, or acquirer without your consent. You may not assign any of your rights or obligations under these Terms without Techies Africa's prior written consent.

10.6 Notices

All notices to Techies Africa under these Terms should be sent to support@techies.africa. All notices to you will be sent to the email address registered in your Programme account. It is your responsibility to ensure this address is current and monitored. Notices sent to your registered email address are deemed received 24 hours after sending.

10.7 Language

These Terms are written in English. In the event of any conflict between an English-language version and any translation, the English-language version prevails.
